With the new Companies Act 2014 it is now possible to have a single Director company and a nominee company Secretary. The new company type Private limited company with share capital allows for one Director, but there must be a separate company Secretary. The company Secretary of a company in Ireland is the person who carries out the legal and administrative duties of the company. They are appointed by the Directors, and can be either a person or another company either in Ireland or abroad. Each company must have a company Secretary.
A company Secretary’s duties are to maintain and prepare a company’s legal documents including the company register. They ensure that the company obeys the law and stays within the rules set down within the company constitution, and to carry out any instructions from the Directors of the company.

Do I need to be qualified?
A company Secretary does not require any formal qualifications for a Private Limited company but this is not the case for a Public Company. The Directors of the company must ensure that the appointed company Secretary has the skills to carry out their duties. An undischarged bankrupt, a disqualified person, or a restricted person cannot be a Secretary of a company.
