Deadlines to Incorporate for year end 2023:
The Company Formation Filing Deadlines year end 2023 are as follows. To register a company in Ireland using the A1 and Constitution signature pages you will need to have them returned to us, by 8th December 2023. All the instructions will need to be followed in relation to signatures and accompanying documents required to incorporate the company. If you have not started the process of incorporation its best to get started as soon as possible so we can ensure that your documents are issued to you in time for you to return them. There is additional time required if you need a Verification of Identity number as a Non-Resident Director.
What Is a Verification of Identity Number?
It is now mandatory for company directors to provide their PPS numbers for the purpose of incorporation. The PPS number will be used for identity verification to ensure that the company director is alive and is a natural person. If they do not have a PPS number they have two options. They can either use an RBO number or a VIF number. The RBO number is obtained if you previously incorporated an Irish company and registered your beneficial owners with the RBO (Register of Beneficial Owners).
However, if you have neither of these then you will need to apply for a VIN (Verified Identity Number) before we go any further. This number will be mandatory for company formation. We will provide you with this form which will have to be stamped and notarized and scanned back to us. We can then file it for you in order to obtain a number for you.
Non Resident Bond?
If you do not have a Director in the EEA you will require a Section 137 Non-Resident Directors bond. This will add a further one week to the process of engagement to allow the insurance company to issue bonds. Unfortunately there is no guarantee that you can be incorporated by the year end if you have a bond. However, we can still submit your incorporation papers for processing and they will be processed soon after the deadline.
